Terms & Conditions

1. Introduction

These Terms & Conditions govern the access to and use of the PB Operations platform, owned by Pinecrest Bakery®, including all services and digital systems made available through it, such as PB University and any other operational modules that may be implemented in the future.

By accessing or using PB Operations, the User expressly agrees to be bound by these Terms & Conditions, as well as by all applicable laws and regulations of the State of Florida, United States of America.

2. Definitions

For the purposes of this document:

  • PB Operations: The digital platform serving as a central access point to Pinecrest Bakery’s operational systems.
  • Services: All systems, platforms, and functionalities accessible through PB Operations, including, but not limited to, PB University.
  • Users: Franchisees, employees, contractors, and third parties authorized by Pinecrest Bakery® to access the Services.
  • Content: Courses, manuals, documents, videos, software, graphic material, and any other resources made available to Users through the Services.

3. Access and Use Conditions

  • Access to PB Operations is restricted to authorized users of Pinecrest Bakery®.
  • Login credentials are personal and non-transferable. Users may not share, assign, or transfer their access credentials to unauthorized third parties.
  • Copying, redistributing, modifying, or commercially exploiting the Content without the prior express written consent of Pinecrest Bakery® is strictly prohibited.
  • Pinecrest Bakery® reserves the right to revoke or suspend access to the Services in case of breach of these Terms & Conditions.

4. User Obligations

The User agrees to:

  • a) Use the Services solely for purposes related to Pinecrest Bakery’s operations.
  • b) Respect the intellectual property rights of Pinecrest Bakery®.
  • c) Maintain the confidentiality of their login credentials.
  • d) Immediately notify Pinecrest Bakery® of any misuse, loss, or unauthorized access to their account.

5. Intellectual Property

All intellectual and industrial property rights relating to the Content and the Services are the exclusive property of Pinecrest Bakery®.

The User is granted a limited, non-exclusive, revocable, and non-transferable license to access and use the Services solely within the scope of the franchise’s operations or the User’s employment relationship with Pinecrest Bakery®.

6. Privacy and Data Protection

The processing of Users’ personal data will be governed by the Privacy Policy, which forms an integral part of these Terms & Conditions.

Personal data may be collected and processed for the following purposes:

  • Managing user access.
  • Facilitating training and educational processes.
  • Improving the operational efficiency of Pinecrest Bakery® and its franchisees.

7. Limitation of Liability

Pinecrest Bakery® does not guarantee that the Services will be available at all times or that they will be free from errors, interruptions, or technical issues.

Under no circumstances shall Pinecrest Bakery® be liable for indirect, incidental, or consequential damages arising from misuse of the Services or from the inability to use them.

8. Use by Franchisees

The access to and use of PB Operations by franchisees shall be subject not only to these Terms & Conditions but also to the clauses, conditions, and limitations set forth in the Official Franchise Agreement executed with Pinecrest Bakery®.

In the event of any conflict between these Terms & Conditions and the provisions contained in the Franchise Agreement, the latter shall prevail.

9. Modifications to Services and Terms

Pinecrest Bakery® reserves the right to modify, suspend, or discontinue, in whole or in part, the Services.

These Terms & Conditions may also be updated at any time, with notice provided to Users through the platform itself or via Pinecrest Bakery’s official communication channels.

10. Suspension and Termination

Pinecrest Bakery® may suspend or cancel a User’s access in the event of breach of these Terms & Conditions.

For franchisees, access to the Services shall remain subject to the validity of the Franchise Agreement executed with Pinecrest Bakery®.

11. Governing Law and Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Florida, United States of America.

Any dispute arising from the interpretation or enforcement of these Terms & Conditions shall be submitted to the exclusive jurisdiction of the courts of Miami-Dade County, Florida.
